Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites and software platform operated by DealPortal Inc. ("DealPortal", "we", "us"), including dealportal.ca (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Services

DealPortal provides a transaction management platform for new development sales and leasing, including tools for inventory, offers, documents, deposits, reporting and related workflows. Features available to you depend on your subscription or the agreement between DealPortal and your organization.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Acceptable use

• Do not use the Services in violation of applicable law or the rights of others;
• Do not attempt to gain unauthorized access to the Services or interfere with their operation;
• Do not upload malicious code or use the Services to transmit unsolicited communications;
• Do not copy, resell or reverse engineer the Services except as permitted by law or written agreement.

4. Customer data

You (or your organization) retain all rights to the data submitted to the platform. You grant DealPortal a limited licence to host and process that data solely to provide and improve the Services. Our handling of personal information is described in our Privacy Policy. You are responsible for ensuring that data you submit was collected and shared lawfully.

5. Intellectual property

The Services, including software, design, logos and content provided by DealPortal, are owned by DealPortal Inc. or its licensors and are protected by intellectual property laws. No rights are granted except as expressly set out in these Terms or a written agreement.

6. Third-party services

The Services may interoperate with third-party products such as e-signature, communication or payment providers. Those products are governed by their own terms, and DealPortal is not responsible for third-party services.

7. Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, DealPortal disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. DealPortal does not provide legal, brokerage or financial advice; you remain responsible for compliance with the laws and regulations applicable to your transactions.

8. Limitation of liability

To the maximum extent permitted by law, DealPortal will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data, arising out of or related to the Services. Our total liability for any claim will not exceed the amounts paid by you for the Services in the twelve months preceding the event giving rise to the claim, or one hundred dollars if you have paid nothing.

9. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms or where required by law. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability and governing law.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, and the courts of Ontario will have exclusive jurisdiction over disputes arising from these Terms, subject to any different terms in a written agreement between DealPortal and your organization.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision, and continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
